Merit to Acquire BioSphere
May 13, 2010—Merit Medical Systems, Inc. (South Jordan, UT) announced that it has signed a definitive merger agreement to acquire BioSphere Medical, Inc. (Rockland, MA) in an all-cash transaction valued at approximately $96 million. The transaction has been approved by each company's board of directors and is subject to the approval of the BioSphere shareholders, federal antitrust clearance, and other customary closing conditions. Merit Medical expects that the transaction will close in the third quarter of 2010.
BioSphere develops and markets embolotherapeutic products for treating uterine fibroids, hypervascularized tumors, and arteriovenous malformations. Merit's Maestro microcatheter, Laureate hydrophilic guidewire, and vascular access products complement the BioSphere products and allow for the opportunity to bundle complementary products, Merit Medical stated.
